The competition (“Competition”) is organised and promoted by Invstr Limited and STEAM 16, jointly known as Stock Market Tracks (“SMT”, “Us” or “We”).

 

The competition (“Competition”) aims to encourage individuals to sharpen their investment knowledge through the creation of a 16 bar song or rap using investing terms. In return, the most voted songs win prizes.

By entering the Competition entrants (“You” or “Entrants”) agree to abide fully by the rules, regulations, these terms and conditions (“SMT Terms”) together with any specific instructions and terms for the Competition which may be mentioned in any electronic messages, or on the website, or communicated to Entrants in any other way. Such Competition information shall prevail in the event of there being any inconsistency between the SMT Terms and any Competition information.

 

 

INTRODUCTION TO THESE TERMS AND CONDITIONS

The SMT Terms are a legal agreement between You and SMT and are the terms upon which We, at our discretion, permit You to enter the Competition.

We are Invstr Limited, a company registered in England and Wales (under registration number 8265075) whose principal place of business is 17 Waterloo Place, London, SW1Y 4AR, United Kingdom. Our VAT number is GB 157 2624 06. And STEAM 16, a subsidiary of Help Chip Inc., is an LLC, a company registered in Trenton New Jersey (under the Corporate ID 0400-3198-22) whose principal place of business is 601 West 26th street. suite 325 New York, New York 10001, United States. Together, and only for the purpose of the Competition, We are SMT.

 

 

YOUR PROMISES TO US

You promise Us that You are at least 18 years old. You also promise Us that any information and details provided by You to Us are true, accurate and up to date in all respects and at all times. Furthermore you hereby warrant that any lyrics which are composed and/or written by You are not subject to any third party rights or encumbrances and that they do not infringe the rights of any third party nor any statutory rights in any material.  

 

 

COMPETITION RULES

Employees of Invstr Limited and STEAM 16 or their family members or anyone else connected in any way with the Competition or helping to set up the Competition are not permitted to enter the Competition.

 

There is no entry fee and no purchase necessary to enter and win the Competition.

 

In order to be eligible to win the Competition Entrants must be over 18 years of age, be registered with Us and have a completed profile including (but not limited to); your email address so that we can contact and issue Entrant winners with prizes, your Instagram handle, the Instagram handle of the person you get your beat from, your country, state and city of residence, your verses video submission.

We reserve the right to cancel or amend the Competition. Any changes to the Competition will be notified to Entrants as soon as possible by Us.

 

When given, prizes are not transferable. Prizes are subject to availability and We reserve the right to refuse any prize without giving notice.

 

One or more winners will be chosen based on the following conditions:

1. Clean language; use of derogatory, racial, abusive, offensive or threatening terms is unacceptable

2. On-topic; verses must be about investing

3. Maximum length 16 bars, or up to 1 minute

4. Moderation and final adjudication for acceptance will be at the discretion of SMT. You acknowledge that SMT reserves the right to remove or disqualify You from the Competition at its absolute discretion and that SMT’s decision is final.

5. Accepted Entrants’ videos are published on STEAM 16’s Instagram account and opened to the public for voting.  Whoever receive the most votes at the end of the Competition will be declared the Winners.

 

Winners will be notified by email within 14 days of the closing date. If the Winners cannot be contacted or do not claim the prize within 30 days of notification, We reserve the right to withdraw the prize from that winner and choose a replacement Winner.

 

Competition prizes are awarded as ‘cash’ prizes. These will be awarded via PayPal, TransferWise or by bank transfer. In the latter case, we require the winner’s bank account details in order to process payment to them. Winners recognise and accept that additional transfer and/or exchange charges may be incurred, depending on local jurisdiction conditions, which will necessarily be paid by themselves and will fully indemnify and hold Us harmless in this regard.

Winners agree to the use of their name and image from their Instagram account in any publicity material. Any personal data relating to the winner or any other Entrants will be used solely in accordance with US and European Union data protection legislation and will not be disclosed to a third party without the Entrant’s prior consent.

 

Your entry into the Competition will be deemed as an acceptance of these SMT Terms.

Competitions are in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter or any other Social Network. You are providing your information to Us and not to any other party. The information provided will be used in conjunction with the Privacy Policy

RIGHTS OF USE

Entrant retains ALL rights to the songs, and SMT does NOT own the song or any rights to it. However, You agree to allow SMT, and by that Invstr Limited and STEAM 16, the right to use the video for its own marketing and promotional purposes, including promotion of the Competition by whatever channel, and any other commercial use. This includes Our rights to reproduce and edit videos.

Protecting your privacy is very important to Us.  

For more detailed information please review our privacy policy in order to understand our commitment to maintaining your privacy as well as our use and disclosure of your information. You agree to Us using your personal information as described in our Privacy Policy.

YOUR LEGAL RIGHTS AND THE LIMITS ON OUR LIABILITY TO YOU

We accept liability for death or personal injury caused by our negligence or that of our employees and agents. We also accept liability for fraud and fraudulent misrepresentation by Us or our employees or agents.

If We breach the SMT Terms, We shall only be liable for losses which are a reasonably foreseeable consequence of such a breach up to a maximum of 50 US Dollars. “Foreseeable” means that the losses could have been reasonably contemplated by You and Us at the time of entering into these Terms.

We are not responsible for: (i) losses not caused by our breach; (ii) indirect losses which means loss to You which is a side effect of the main loss or damage and where You and We could not have reasonably anticipated that type of loss arising at the time of entering into the SMT Terms; (iii) any loss arising as a result of the accuracy, timeliness, completeness or usefulness of any information.

You have certain rights under the law. Nothing in the SMT Terms is intended to or will affect your statutory rights. Save as expressly set out in this Agreement, all conditions, representations, warranties, undertakings or other terms whether express or implied, statutory or otherwise, are excluded from this Agreement to the fullest extent permitted by law.

 

REMEDY

If You breach the SMT Terms, then (without limiting any other remedy We may have), We will exclude You from the Competition.

You also agree to compensate Us and keep Us compensated for any loss We suffer (including financial or reputational loss) howsoever arising, as a result of your breach of any of the SMT Terms.

 

 

ASSIGNMENT

You acknowledge that We may transfer our rights under the SMT Terms (and any related claims) to any third party without having to obtain your prior consent.

NO WAIVER OF LEGAL RIGHTS

If You breach the SMT Terms and We take no action against You, We will still be entitled to use our rights and remedies in any other situation where You breach the SMT Terms.

ENTIRE AGREEMENT

The SMT Terms constitute all terms agreed upon between You and Us. You acknowledge that your right to enter the Competition is also subject to the applicable law

 

VALIDITY

If any part of the SMT Terms is disallowed or found to be ineffective by any court or regulator, the other provisions shall continue to apply.

 

DISPUTES

These conditions are governed by and construed in accordance with the laws of England and Wales. We both agree to submit to the non-exclusive jurisdiction of the English courts.
